Title
The Name of the association shall be “Outer Banks
Running Club,”Inc. hereafter referred to as “this
association” or “this organization.”
Objectives
a. The prime objective of this association shall be the
promotion and encouragement of long distance
running, track and field and cross country, and the
education of the public to its benefits.
b. In furtherance of Objective “a” this association may
hold championships and races, on the road or track,
lectures, fun runs, other educational activities,
demonstrations, clinics and social events; to print and
publish books, magazines and newsletters, make awards;
and do all such things as may be conducive to the
encouragement of running.
c. Other objectives are to engage in community
activities and to publicize, by appropriate means, the
benefits of long distance running, track and field, and
cross country as a means of physical fitness.
Affiliation
This association shall be a Chapter of the Road Runners
Club of America & USATF, and all measures adopted by
those bodies must be considered by this organization.
Membership
Individuals who wish to participate in the activities of
this organization shall submit an application for
membership. Dues are $25 for those who join during the
months of January through June. Dues for those who join
between July and December will pay a reduced fee of
$12.50. Minors (under 18) may join for $5 with an
application signed by their parent or guardian, any time
of the year.
Members
Club members are expected to participate in as many
club-staged events as possible, and members are strongly
urged to volunteer for at least one club-staged during a
year.
Management or Government
a. The management of this association shall be vested in
a Board of Directors consisting of a President, 1st
Vice-president, 2nd Vice-president & Treasurer, 3rd
Vice-president & Secretary, 4th Vice president, Head
Coach & Trainer, and the Immediate Past President
b. Duties of officers: A separate Position Description
document describes the role of the officers. Officers,
except for the president and immediate past president,
preside over committees related to their duties.
Eligibility
Officers may be elected to succeed themselves. Officers
are to be dues-paying adults (not minors).
Term of Office
a. Term of office shall be about one year, beginning
with or at the close of the first meeting held within
the calendar year, and in no case beginning later than
March 31.
b. Offices filled upon resignation shall also expire at
the time of the first meeting of the calendar year.
Elections
Officers shall be elected by a majority vote of those
present at the meeting.
Meetings & Procedural Requirements
Meetings will be held at least once each quarter, and
more frequently if called by the president.
a. Parliamentary procedure will be carried on at
meetings, and every effort will be made to discuss any
measures coming before the group.
b. A majority vote of the members present is necessary
to pass ordinary measures. All measures shall be deemed
ordinary except those proposing an amendment to these By
Laws.
c. A quorum shall consist of the number of elected
officers plus one. No official meeting shall be held
unless a quorum is present.
Bylaws amendment
a. A bylaws amendment may be accomplished by a
two-thirds vote of the members present at the official
meeting.
b. Only those who have been members of this organization
for 30 days prior to the proposal of such an amendment
may vote upon such.
c. All members must be notified at least 7 days prior to
voting that bylaw amendments will be discussed and voted
on.
Finances
Dues shall be as determined by a majority of the members
present at an official meeting and shall not be changed
more often than once per year.
. *The Road Runners Club of America is a non-profit
organization. Dues, entry fees, and other monies
received by the organization will be spent entirely for
carrying out the stated purpose to the organization.
. No part of the net earnings of the club shall inure to
the benefit of its individuals.
. This organization shall be empowered to participate in
fund-raising activities.
. This organization will submit a portion of the annual
dues (described in a supra) to the RRCA and USATF as
membership in that body shall require.

Dissolution
*In the event of dissolution of this association, the
funds in the treasury, after all creditors have been
paid, shall go to the Road Runners Club of America or
other 501c(3) non-profit organization.
*These two statements are requirements for membership in
the Road Runners Club of America (I.R.S. rules).

Event Management
For a race to be considered “club-managed,' four members
of a race organizing committee must become Outer Banks
Running Club members. The club members must actively
stage the event. The OBRC logo or text mentions must be
included in race promotions (news releases, PSAs, race
programs, race applications, etc.). The OBRC web address
must be included on the race web site. The OBRC must
receive the email addresses of the participants of the
event from the race organizing committee. The OBRC must
be given the opportunity to include its membership
applications and race entry forms in the race's goody
bags or to be handed out on site if there are no bags.
OBRC must be provided a free Expo booth. The race
organizers should ask OBRC for race management status at
least three months in advance. |
Non-bylaws rules of the
club
a. Voted Jan. 10, 2007 -- No officer or member should disseminate a
formal communication without permission of the club (their title
should not be used on these communications without the club members'
knowledge).
Other
The club maintains a separate statement of mission and goals. The
mission statement is simply a succinct recap of the bylaws overall
objectives. Goals are yearly measureable objectives discussed and
approved by club members, and other objectives developed by the
committees
